Affiliate Agreement - Jazz Club

AFFILIATE FEE AGREEMENT

This Referral Fee Agreement (the "Agreement") is made on (the "Effective Date") by and between of Jazz Imaging (hereinafter referred to as "Seller") and hereinafter referred to as the "Referrer".

NOW, THEREFORE, in consideration of the premise and the mutual promises and covenants contained herein, the parties agree as follows:

TERM AND TERMINATION

The term of this Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of One year from the date of this Agreement (the "Term"), unless earlier terminated by either party upon at least 30 days prior written notice.

DESCRIPTION OF AFFILIATE SERVICE

For the Term of this Agreement, Referrer shall have the right to introduce prospective customers (the "Client") to the Seller who are not already known to the Seller. Any new sensor orders resulting in this introduction shall result in earning of a "Fee", subject to details and limitations per this agreement. Client must use the affiliate URL when ordering the sensor on www.jazzimaging.com assigned to Referrer to be eligible for Fee.

FEES

The Referrer's Fee shall be calculated as follows for each new traditional purchase or Jazz Club subscription for either a SOLO or MINOR sensor.

Traditional Purchase - $250 for non DSO, $125 for DSO
Jazz Club

OPTION 1: $150 for private practice or DSO/Group up to the first 25 units/DSO. No Fee for DSO's >25 units.

OPTION 2: $10/month for private practice or DSO/Group up to the first 25 units/group. No Fee for DSO's >25 units, inclusive of the first 25.

Jazz Club subscription must be active to receive ongoing Fee.

PAYMENTS

Fees will be paid on a quarterly basis. Any returns of sensors orders within the trial period shall result in a credit or deduction of Fees. All payments will be on a 1099 contractor basis. Referrer is responsible for all taxes. The Referrer's tax ID # is .
